These Terms form the agreement between the Customer and Damien Crane trading as ISOweld (ABN 50 803 660 487), New South Wales, Australia. They apply with the Privacy Policy, Acceptable Use Policy, Data Processing Agreement, any accepted Order and the Controlled Beta Program Terms where relevant.
1. Definitions
Customer means the subscribing organisation. Authorised User means a person permitted by it. Customer Data means information and files submitted to or generated through the Customer account. Platform includes the web application, kiosk, reports, APIs and integrations. Order means an accepted signup, quote, order form or written arrangement.
2. Contract formation and authority
Acceptance may occur by signup, checkbox, signed Order or authorised use after notice. ISOweld may record the document version, timestamp, company and user identifiers, IP address, user agent and document hash. The accepting person represents that they can bind the Customer. See the Electronic Transactions Act 1999 (Cth).
3. Service purpose
ISOweld supports attendance, workforce competence, assets, documents, jobs, welding traceability, materials, inspections, maintenance and reporting. ISOweld is not a certification body, legal practice, engineering consultancy, registered training organisation, auditor, regulator or insurer.
4. Licence and restrictions
A limited, non-exclusive, non-transferable right is granted for authorised internal business use during an active plan, trial or beta. Customers must not resell, sublicense, interfere with security controls, copy source code or operate ISOweld as a service bureau except where a right cannot lawfully be excluded.
5. Account administration
- Nominate authorised administrators.
- Assign access according to need and remove it promptly.
- Protect credentials and report suspected compromise.
- Keep company and billing contacts current.
6. Customer responsibilities
- Have lawful authority for all submitted information.
- Keep records accurate, current and complete.
- Review AI outputs, alerts, dates, reports and exports.
- Use competent people for welding, safety, quality and engineering decisions.
- Maintain independent records and procedures required by law, contract or standard.
- Configure Customer-controlled integrations and permissions.
7. Plans, fees and beta allowances
Plan inclusions, limits, fees and billing are those shown at signup or in an Order. Trial and beta allowances are temporary. ISOweld will not impose retrospective charges. Material future price or paid-feature changes will be notified with a reasonable opportunity to cancel.
8. Availability and changes
Maintenance, defects, cyber events, hosting limits and provider outages may interrupt service. No fixed uptime, response or restoration time applies unless signed. Features may change for security, reliability, legal or commercial reasons.
9. Customer Data
The Customer or lawful rights holder retains ownership. ISOweld receives a limited licence to host, process, transmit, display, back up and support Customer Data. ISOweld does not sell Customer Data.
10. Privacy and security
The parties comply with laws applying to them. ISOweld uses reasonable safeguards appropriate to its maturity but does not claim ISO/IEC 27001, SOC 2 or Essential Eight certification. Some providers may process data outside Australia.
11. Backups, exports and continuity
Backups may be maintained, but recovery is not guaranteed until tested. Customers should export and independently retain critical beta records. Export capability varies by module.
12. Third-party services
External hosting, email, Microsoft, OpenAI, Google, ClickUp, WorkflowMax and payment services may be used. ISOweld controls its integration logic, not provider infrastructure or policies.
13. Intellectual property and confidentiality
ISOweld retains Platform IP; Customers retain Customer Data. Each party must reasonably protect confidential non-public information, subject to lawful disclosure exceptions.
14. Suspension and termination
Access may be suspended for serious security risk, unlawful use, material breach or non-payment. Except where urgent, reasonable notice and an opportunity to remedy will be given. On closure, Customers should export records; remaining data follows the Retention Policy.
15. Australian Consumer Law
Nothing excludes non-excludable rights under the Australian Consumer Law. ISOweld will provide services with reasonable care and skill where required, but does not guarantee error-free operation, certification or suitability for every purpose.
16. Liability
Each party is responsible for loss caused by its breach, negligence, fraud or unlawful conduct, subject to law. ISOweld is not responsible for loss caused solely by inaccurate Customer Data, Customer-controlled permissions, unsupported use or Customer-controlled services. Any limitation must be read consistently with mandatory law.
17. Indemnity
To the extent permitted by law, the Customer indemnifies ISOweld for third-party claims arising directly from unlawful Customer Data, infringement by Customer-supplied content or a material acceptable-use breach, except to the extent caused by ISOweld.
18. Disputes, notices and governing law
Parties must first attempt good-faith resolution. Urgent relief remains available. New South Wales law applies subject to mandatory jurisdiction. Notices may be sent to recorded contacts or support@isoweld.com.au.
19. Changes and general terms
Updates will show a new date and version. Material changes will be notified where practicable and will not retrospectively remove accrued rights. Invalid provisions are severed minimally; non-enforcement is not waiver; signed Orders prevail over direct conflicts.
